Agreement to Terms

These Terms of Service ("Terms") govern your use of Prismatic FM and Prismatic Music (each a "Service," together "the Services"), operated by SpiceFlow AI, Inc. ("we," "our," or "us"). By accessing or using either Service, you agree to be bound by these Terms.

Description of the Services

Prismatic FM is a radio streaming platform that provides access to radio stations worldwide with immersive audio visualization. It is available on iOS, Android, macOS, and visionOS platforms.

Prismatic Music is an offline music player for your own music library, with immersive audio visualization. Your library is stored on your device; playback does not require an internet connection. It is available on iOS and macOS.

Subscriptions and Purchases

Prismatic FM Free and Premium

Prismatic FM is free to use and includes access to our radio streaming features. The free tier includes advertisements. The Premium subscription removes advertisements and provides access to additional music visualizers.

Prismatic Pro (Prismatic Music)

The core Prismatic Music player is free: you can import your music and play it without a subscription. The free tier may include advertisements. Prismatic Pro is an optional upgrade that unlocks premium visualizers and advanced features such as custom equalizer settings, lyric styles, and online lyric search. Prismatic Pro is offered as an auto-renewing monthly or annual subscription, or as a one-time lifetime purchase.

Billing, Free Trials, and Cancellation

Subscriptions and purchases are billed through your platform's payment system (Apple App Store or Google Play) and are subject to that platform's terms and conditions. Where a free trial is offered, you will be shown its length and the price charged when it ends before you subscribe. Auto-renewing subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period; payment is charged to your platform account. You can manage or cancel a subscription at any time in your platform's subscription settings, and cancellation takes effect at the end of the current billing period. Refunds are handled by the platform under its policies.

Your Content and Responsibilities

Music you import into Prismatic Music remains yours; we claim no ownership of it. You are responsible for having the necessary rights to the files you import and play, and for complying with the terms under which you obtained them. Prismatic Music does not import copy-protected songs and does not remove or circumvent copy protection. You agree to use the Services in compliance with all applicable laws and regulations, and you are responsible for all activity that occurs on your devices.

Intellectual Property

The Services, including all content, features, and functionality we provide, are owned by SpiceFlow AI, Inc. and are protected by intellectual property laws. Radio station content is provided by third-party broadcasters and is subject to their respective rights and licenses. Music in your Prismatic Music library is subject to the rights of its respective owners.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, secure, or error-free.

Limitation of Liability

To the maximum extent permitted by law, SpiceFlow AI, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Services.

Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason. You may stop using the Services at any time.

Changes to Terms

We may modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date" above. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved in the courts of Delaware.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpiceFlow AI, Inc. regarding the Services.
